1. Acceptance of Terms

By accessing or using the HMS Institute website (https://hmsinstitute.com.au) and Learning Management System (LMS), you agree to be bound by these Terms of Service. This agreement is between you (the “User”, “Learner”, or “Client”) and Healthy Mind Solutions Pty Ltd (ABN: 97 645 516 310) (“HMS Institute”, “we”, “us”).

2. Educational Purposes Only — Not Medical Advice

HMS Institute provides educational courses, compliance training, and psychoeducation. The content provided on this platform is for educational and informational purposes only and does not constitute medical, psychiatric, psychological, or clinical advice. Engaging with our courses does not establish a clinician-patient relationship with Healthy Mind Solutions clinic.

3. User Accounts and Acceptable Use

• Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must not share your account or password with any other individual.
• B2B Accounts: If you are accessing the platform via an enterprise or employer-sponsored account, you acknowledge that your employer may have access to your course progress and completion records for compliance purposes.
• Acceptable Conduct: You agree to use the platform respectfully. You must not upload harmful content, attempt to hack or disrupt the LMS, or harass other users or instructors.

4. Intellectual Property

All content on the HMS Institute platform, including but not limited to videos, text, graphics, course materials, PDFs, and assessments, is the exclusive intellectual property of Healthy Mind Solutions Pty Ltd. You are granted a limited, non-exclusive, non-transferable license to access and view the course content for your personal or internal business educational purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our course materials without prior written consent.

5. Payments and Subscriptions

Access to certain courses requires payment. All fees are stated in Australian Dollars (AUD) and are inclusive of GST where applicable. Payments are processed securely via our third-party provider, Stripe. By purchasing a course, you agree to our Refund Policy.

6. Account Termination

We reserve the right to suspend or terminate your account and access to the LMS immediately, without prior notice or liability, if you breach these Terms of Service (e.g., unauthorized sharing of intellectual property or disruptive behavior).

7. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (ACL), HMS Institute excludes all liability for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the LMS or course content. Our total liability for any claim arising under these terms is limited to the amount you paid us for the specific course or service giving rise to the claim.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Victoria.
